Main theme of the film 'RUST NEVER SLEEPS' this fine ballad is fairly easy to catch.
I am talking here about the acoustic version (the electric version closes the film and the lyrics are a bit different).
I had got it all in my fingers a few days after having seen the film and before I bought the record. It is easier to play it with your fingers first and then use a pick to get a finer sound as Neil Young did and as I did myself in the demo. When using a pick you make downstrokes on the bass and middle strings and upstrokes on the treble ones. 

You will rapidly get the rhythm without paying too much attention to the details of the tab.
The sung parts are played with simple full chords. 

november 2007 update : I changed a G chord into a Em chord ( see it in red below)
